General Terms of Service

These General Terms of Service ("Terms") govern your access to and use of the MySwiftBill payment collection platform ("Platform", "we", "us", or "our").

By creating an account or using the Platform, you agree to these Terms. If you do not agree with these Terms, you must not use the Platform.

About the Platform

MySwiftBill provides businesses and merchants with tools to request and receive payments from their customers. The Platform may allow merchants to:

  • Create a merchant account
  • Generate payment links and QR codes
  • Specify the amount to be collected
  • Share payment links or QR codes with customers
  • Receive customer payments through supported payment methods
  • View payment and transaction activity in real time
  • Access other payment and account-management features

The Platform does not guarantee that every payment method, payment network or financial institution will always be available.

Eligibility

To use the Platform as a merchant, you must:

  • Be legally capable of entering into a binding agreement
  • Provide accurate and complete information during registration
  • Provide any identification or business information reasonably required for verification
  • Use the Platform for a legitimate business purpose
  • Comply with all applicable laws and regulations

If you register on behalf of a business or organisation, you confirm that you have authority to act on behalf of that business or organisation.

Merchant Account

You are responsible for maintaining the security of your account and login credentials. You must:

  • Keep your login credentials confidential
  • Use a strong password
  • Notify us promptly if you suspect unauthorised access
  • Ensure information associated with your account remains accurate and up to date

You are responsible for activity conducted through your account unless you have notified us of unauthorised access and we have had a reasonable opportunity to take appropriate action.

You must not sell, transfer, rent or otherwise provide your merchant account to another person or business without our prior approval.

Merchant Verification and KYC

Before or during the use of the Platform, we may require you to complete identity and business verification procedures. We may request information including:

  • Government-issued identification
  • Phone number and email address
  • Business registration information and address
  • Nature of business
  • Ownership and beneficial-owner information
  • Settlement account information

You agree that all information provided to us must be accurate, complete and current. We may refuse, restrict or suspend access to the Platform where required verification is incomplete or information cannot be satisfactorily verified.

Creating Payment Links and QR Codes

Merchants may create payment links or QR codes by specifying the amount they wish to collect. The merchant is responsible for ensuring that the amount entered is correct before sharing the payment link or QR code with a customer.

A payment link or QR code does not by itself constitute confirmation that a payment has been made. Merchants should rely on the payment status displayed within the Platform before treating a transaction as successfully completed.

Payments

Payments are processed through supported payment providers, banks, mobile money operators, card networks or other payment partners. We may rely on third-party payment providers to process transactions.

A payment may be pending, successful, failed, reversed, cancelled or refunded. The exact payment status displayed by the Platform will determine the status recognised by our system.

We are not responsible for delays, failures or interruptions caused by third-party financial institutions, payment networks, telecommunications providers or other external service providers, except where liability cannot legally be excluded.

Settlement

Successful payments may be settled to the merchant's designated settlement account according to the applicable settlement schedule. Settlement times may vary depending on:

  • Payment method and payment provider
  • Banking or mobile money networks
  • Weekends and public holidays
  • Compliance or fraud reviews
  • Technical issues or circumstances outside our reasonable control

We may delay or restrict settlement where reasonably necessary to investigate suspected fraud, financial crime, payment disputes, regulatory issues or other risks, subject to applicable law.

Fees

The fees applicable to merchants will be communicated through the Platform, pricing page, merchant agreement or other applicable communication. We may charge fees for payment processing, settlement or withdrawals, and other optional services.

We may change our fees by providing reasonable notice where required. Any applicable taxes, government charges or third-party fees may be payable in addition to our stated fees where applicable.

Refunds and Disputes

Merchants are responsible for resolving disputes relating to the goods or services they provide to their customers. Where applicable, merchants may be required to process refunds in accordance with our procedures and the rules of the relevant payment provider or payment network.

A payment being marked as successful does not necessarily prevent a payment from later being reversed, disputed or subject to a chargeback or other adjustment.

We may deduct amounts relating to refunds, reversals, chargebacks, disputes, fees or other legitimate adjustments from amounts payable to the merchant where permitted.

Prohibited Activities

You must not use the Platform for unlawful, fraudulent, deceptive or abusive activities. Prohibited activities include, but are not limited to:

  • Money laundering or terrorist financing
  • Fraud or financing illegal activities
  • Sanctions evasion
  • Selling illegal goods or services
  • Receiving funds on behalf of undisclosed third parties
  • Attempting to manipulate or circumvent payment controls
  • Providing false or misleading information
  • Any activity prohibited by applicable law or our policies

We may suspend or terminate accounts associated with prohibited activities.

AML, Fraud and Transaction Monitoring

We may monitor merchant accounts and transactions to detect fraud, money laundering, terrorist financing and other financial crime risks. We may:

  • Review transactions and request additional information
  • Conduct enhanced due diligence
  • Restrict account functionality or delay settlement where permitted
  • Suspend accounts or terminate merchant relationships
  • Report activity to competent authorities where required by law

Our Anti-Money Laundering Policy and KYC Policy form part of the compliance framework governing use of the Platform.

Account Suspension and Restrictions

We may temporarily restrict or suspend your account where:

  • You breach these Terms
  • Required KYC information has not been provided or is inaccurate
  • We suspect fraud or other unlawful activity
  • We identify unusual or suspicious transactions
  • Your account presents an unacceptable financial, regulatory or security risk
  • We are required to do so by law, regulation or competent authority
  • Your account has been compromised or presents a security risk

Where appropriate and legally permitted, we may provide notice of the reason for a restriction.

Account Termination

You may request to close your merchant account at any time, subject to completion of outstanding transactions, disputes, refunds, compliance reviews and other obligations.

We may terminate or suspend your account where you breach these Terms or where continued access presents legal, regulatory, financial, fraud, security or reputational risks.

Termination does not automatically eliminate obligations that arose before termination.

Platform Availability

We aim to provide reliable and continuous access to the Platform but do not guarantee that the Platform will always be available. The Platform may occasionally be unavailable due to maintenance, software updates, technical failures, network interruptions, third-party service outages, payment network interruptions, security incidents or events outside our reasonable control.

We will make reasonable efforts to restore services when interruptions occur.

Merchant Responsibilities

You are responsible for:

  • The goods and services you sell
  • The accuracy of the amounts requested from customers
  • The legality of your business activities
  • Customer service relating to your products or services
  • Issuing receipts or other commercial documentation where required
  • Resolving customer disputes relating to your goods or services
  • Complying with applicable tax, consumer-protection and business laws

MySwiftBill is a payment collection platform and does not assume responsibility for the merchant's underlying goods, services or contractual relationship with its customers.

Intellectual Property

All rights, title and interest in the Platform, including its software, branding, designs, interfaces, logos and other materials, belong to MySwiftBill or its licensors. You may use the Platform only for its intended purpose.

You must not copy or reproduce the Platform, reverse engineer it, attempt to gain unauthorised access, modify or distribute Platform software, or use our trademarks without permission.

Data and Privacy

We collect and process personal and business information in accordance with our Privacy Policy and applicable data-protection laws. By using the Platform, you acknowledge that information may be processed for purposes including account creation, identity verification, payment processing, fraud prevention, AML compliance, transaction monitoring, customer support, security and legal/regulatory compliance.

Third-Party Services

The Platform may integrate with third-party services, including banks, mobile money providers, payment processors, identity-verification providers, telecommunications providers and other technology providers.

Your use of third-party services may also be subject to their respective terms and policies. We are not responsible for third-party services that are outside our reasonable control.

Limitation of Liability

To the extent permitted by applicable law, MySwiftBill will not be liable for indirect, incidental, special or consequential losses arising from your use of the Platform. This may include losses resulting from:

  • Third-party payment failures
  • Network or telecommunications failures
  • Unauthorised access caused by the merchant's failure to secure account credentials
  • Customer disputes relating to goods or services
  • Temporary Platform outages or events outside our reasonable control

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold MySwiftBill and its officers, employees and service providers harmless from claims, losses, liabilities, damages and expenses arising from:

  • Your breach of these Terms
  • Your unlawful use of the Platform
  • Your goods or services
  • Fraudulent or unauthorised activity conducted through your account
  • Your violation of applicable laws or third-party rights

Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice through the Platform, email or another appropriate communication channel.

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana, unless otherwise required by applicable law.

Any disputes arising from these Terms shall be handled through the courts or other dispute-resolution mechanisms having appropriate jurisdiction in Ghana.

  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • The information you provide is accurate
  • You will use the Platform only for lawful purposes
  • You will comply with our KYC, AML, Privacy and other applicable policies
